Thank you for choosing SKYNOX Ltd as your provider of lighting towers and dust suppression units. Before we proceed with your order, please read the following terms and conditions carefully. By accepting these terms and conditions, you agree to be bound by them and to comply with all applicable laws and regulations.
Definitions
- “We”, “us”, “our” or “SKYNOX”: SKYNOX Ltd, registered in England and Wales with company number 15176250.
- “You”, “your” or “the customer”: The person, firm, or company hiring or purchasing the equipment from us.
- “The equipment”: Includes lighting towers, dust suppression units, and any accessories, parts, or replacements.
- “The contract”: The agreement between you and us for the equipment, incorporating these terms.
- “The hire period”: Begins when you receive the equipment and ends when returned or collected.
- “The purchase price”: As agreed, listed in our quotation or invoice.
Hire of Equipment
- Hire Charges: You will pay as per our agreement, calculated daily, weekly, or monthly.
- Deposit: A refundable security deposit will be held. Refunds are subject to deductions for damage, loss, or late returns beyond normal wear and tear.
- Usage: Use safely and properly per our or the manufacturer's instructions. No alterations without written consent.
- Care: You are responsible for the equipment's care, maintenance, and safety during hire. Notify us immediately of theft, loss, or damage.
- Compliance: Adhere to all laws, including health, safety, and environmental regulations. Obtain necessary permits.
- Return: Return the equipment clean and in good condition at the hire period's end or upon our request, covering all transport costs unless agreed otherwise.
Purchase of Equipment
- Payment: Full payment before delivery or collection.
- Delivery: We'll deliver or make available for collection post-payment. Delivery fees may apply.
- Title: Ownership transfers upon delivery/collection; however, we retain title until full payment is received. During this period, you will hold the equipment as our bailee, not to be sold or pledged without our consent.
- Warranty: 12 months from delivery/collection for defects in materials or workmanship under normal use. Does not cover consumables or misuse. Notify within 14 days of defect discovery for warranty claims, with return at your cost.
Liability and Indemnity
- Limitation: Our liability for losses or damages is limited to our negligence or willful misconduct. We are not liable for indirect or consequential damages unless by our gross negligence.
- Indemnification: You indemnify us against claims from your use of the equipment, excluding those caused by our negligence.
Special Conditions for Lighting Towers
- Safety: Ensure suitability for intended use. Lower mast at wind speeds over 80 km/h, when not in use, or during transport. Responsible for all related damages or regulatory fines for non-compliance.
Replacement of Stolen or Damaged Goods
- Insurance Requirement: You must maintain suitable insurance coverage for the full replacement value of the equipment against theft, damage, and any other risks while the equipment is in your possession or control. Proof of insurance may be requested at any time during the hire period.
- Responsibility: You agree to replace any goods belonging to SKYNOX that are stolen or damaged while in your possession or control, be it hired or off-hired awaiting collection.
- New Replacement: Replace with new goods of the same quality and specifications if the original goods are not more than three years old at the time of the theft or damage.
- Depreciated Replacement: If older than three years, replace with goods of similar age and condition, or pay a settlement fee equivalent to the depreciated value, calculated using a straight-line depreciation method from the original purchase price.
- Continued Rental: You agree to continue paying the weekly rental fees for the stolen or damaged goods until SKYNOX has received the replacement goods or the settlement fee.
- Notification: You must notify SKYNOX within 24 hours of discovering any theft or damage, providing all necessary details and cooperating with any police or insurance investigations.
- Inspection Rights: SKYNOX reserves the right to inspect the damaged goods or the site where the theft or damage occurred to verify the circumstances before agreeing to any replacement or settlement.
- Exclusions: This replacement obligation does not apply to losses due to acts of war, terrorism, natural disasters, or when the equipment has been grossly misused, neglected, or operated outside of manufacturer specifications.
- Settlement Payment: Payment for settlement fees for depreciated goods must be made within 28 days from the agreement on the settlement amount.
Fuel Policy
- Fuel Type: Only White Diesel can be used to refill the fuel tank. Equipment must be returned with a full tank of White Diesel. If returned with less or with any other type of fuel, refuelling charges plus a 20% service fee will apply, and you may be liable for any damage caused by using incorrect fuel types.
- General
- Entire Agreement: This contract overrides all prior agreements. Changes are only valid if written and agreed by both parties.
- Governing Law: Governed by English law with disputes subject to English courts. Arbitration or mediation may be considered before litigation.
- Changes to Terms: Any changes will be communicated via email or our official website.
- Customer Acknowledgment
- By proceeding, you acknowledge having read, understood, and agreed to these terms.
Emergency Hire Terms
Availability: Emergency hire equipment is available 24/7 to address urgent needs. Contact us at any time to arrange for immediate hire.
Priority Service: Emergency hires will be prioritised to ensure rapid delivery and setup. We aim to deliver equipment within [specified time frame, e.g., 2 hours] from the time of order confirmation.
Charges: Emergency hire rates may differ from standard hire rates due to the expedited nature of the service. All charges will be clearly communicated at the time of booking.
Deposit: A refundable security deposit is required for emergency hires, similar to standard hires. The deposit amount will be confirmed during the booking process.
Usage and Care: The same usage and care terms apply as outlined in the standard hire terms. Ensure the equipment is used safely and properly, and notify us immediately of any issues.
Return: Equipment hired under emergency terms must be returned in the same condition as received. Any damage or loss will be subject to the same conditions as standard hires.
Insurance: You must maintain suitable insurance coverage for the full replacement value of the emergency hire equipment against theft, damage, and other risks while in your possession or control.
Liability: Our liability for losses or damages during emergency hires is limited to our negligence or wilful misconduct. We are not liable for indirect or consequential damages unless caused by our gross negligence.
